Auto-Renewal Agreement

1. Membership Benefits

Free users can use basic app features and interact with Live2D AI characters with limited daily chat messages. VIP members enjoy unlimited AI chat messages, access to exclusive character models, high-quality voice streaming, and other premium features.

2. Service Description

This Service is an automatic renewal service provided to you on the premise that you have activated the Soulvoice VIP membership service. If you activate this Service, it is deemed that you authorize Soulvoice to deduct the service fee for the next billing cycle from the account balance bound when you activated this Service when your Soulvoice VIP membership is about to expire.

If you activate this automatic renewal service through Apple ID of Apple Inc. and do not actively and explicitly cancel this automatic renewal service during the service period, Apple Inc. will automatically deduct the service fee for the next billing cycle from the Apple ID account 24 hours before each subscription period expires.

3. Account Binding

After activating this Service, please ensure that you have bound the Soulvoice VIP membership account you have activated with the aforementioned Account, and the Account balance is not less than the service fee. If the failure to renew and other consequences are caused by your failure to bind the Account or the insufficient deductible balance in the bound Account, you shall bear them yourself.

4. Billing Cycle Calculation

The billing cycle is the service cycle you have activated. The calculation rules for the subscription cycle involve the start date of the subscription and the end date of the corresponding cycle:

Billing Cycle:

• Weekly: From the start date to the same day of the next natural week
• Monthly: From the start date to the same day of the next natural month
• Quarterly: From the start date to the same date of the next quarter
• Annual: From the start date to the same day of the next year

5. Subscription Changes

You can change your subscription type at any time (for example, from a monthly subscription to an annual subscription). In this case, the remaining subscription time will be proportionally allocated to the new subscription period.

6. Failed Deductions

If the automatic renewal deduction fails due to reasons such as the Platform system or insufficient balance in the Account you bound, the Platform will not proactively terminate/cancel the automatic renewal service you have subscribed to, and the Platform will continue to apply for deduction until the Platform's deduction is successful or you actively cancel the automatic renewal service.

7. Price Adjustments

You confirm and agree that Soulvoice has the right to adjust the service price corresponding to this Service. If Soulvoice intends to adjust the service price, we will notify you in advance in an appropriate manner (including but not limited to station announcements, station messages, SMS, etc.). If you do not agree, you can cancel this Service according to this Agreement.

9. Important Reminder

Based on the characteristics of the automatic renewal service, for the account that has activated this Service, if you do not cancel the automatic renewal service during the billing cycle, we will issue a deduction instruction for the next billing cycle to the relevant entity on your behalf and extend your membership validity period according to the corresponding term.

Note: Due to the restrictions of the payment channel's deduction rules, if you cancel within 24 hours before the current automatic renewal service billing cycle expires, the payment channel may deduct the service fee for the next billing cycle and then stop the deduction service, and in principle, the fees deducted based on this instruction will not be refunded.

10. Consumption Behavior

You understand and agree that the deduction authority you authorize will be regarded as your own consumption behavior, and if this leads to your own loss, you will not claim any rights or pursue any liability against Soulvoice and its affiliated companies.

11. Agreement Changes

Soulvoice can change or revise the service content and terms in this Agreement based on business development or technical upgrades. You can view the revised content on the relevant page. If you do not agree with the modification of this Agreement, you can cancel this Service and stop using it; if you continue to use the services we provide, it is deemed that you have accepted all the modifications of this Agreement.

12. Legal Compliance

You shall ensure that the use of this Service is legal and compliant, and shall not use this Service for any illegal activities or activities that infringe upon the rights and interests of others.

13. Effective Date

This Agreement shall take effect from the date you click to activate the automatic renewal service and pay the first fee until you cancel this Service.
